1. Agreement

These Terms & Conditions ("Terms") govern your use of the Business IT Solutions website, products and services. By accessing our website or purchasing a subscription, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you warrant that you have authority to do so.

2. Services and subscriptions

We provide software-as-a-service products and related professional services as described on our website or in an applicable order form. Subscriptions are billed monthly or annually in advance. Starter and Professional plans may be cancelled at any time, effective at the end of the current billing period. Enterprise terms are governed by a separate master services agreement.

3. Acceptable use

You agree not to misuse our services, including by attempting unauthorised access, reverse engineering the software, reselling access without authorisation, or using the services to violate any applicable law or third-party right.

4. Your data

You retain all rights to data you submit to our services. You grant us a limited licence to host and process that data solely to provide the services. Our handling of personal information is described in our Privacy Policy.

5. Intellectual property

All software, documentation, branding and website content remain the property of Business IT Solutions (ABN 99 038 242 146) or its licensors. No rights are granted except as expressly set out in these Terms.

6. Fees and payment

Fees are stated in Australian dollars and exclude GST unless noted otherwise. Overdue amounts may result in suspension of access after reasonable notice. Price changes will be communicated at least 30 days before taking effect and apply from your next billing cycle.

7. Warranties and liability

Services are provided with due care and skill. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services is limited to the fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.

8. Termination

Either party may terminate for material breach not remedied within 14 days of written notice. On termination, we will make your data available for export for 30 days, after which it will be deleted from production systems.

9. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
